Client Terms and Conditions

1. Introduction

The Portland Office of Small Business ("we," "us," or "our") offers free one-on-one appointments to assist businesses in navigating business resources. By scheduling an appointment, you agree to the following terms and conditions. Please read them carefully before proceeding.

2. Definitions

Client: business owner and/or entrepreneur who receives services through the Portland Office of Small Business

Service Provider: Prosper Portland small business liaison and/or organization that is funded by Prosper Portland to provide services to Clients

3. Eligibility

This service is available to businesses located within the City of Portland, Oregon and to Portland residents who are interested in starting a business in the city. By scheduling an appointment, you confirm that your business operates or plans to operate within the city limits.

4. Purpose of the Service

Appointments are intended to help businesses navigate City of Portland resources, including but not limited to permits, licensing, financing options, and other business-related assistance. The guidance provided during these sessions is informational and should not be considered legal, financial, or professional advice.

If a Service Provider refers the Client to other programs, the client may be asked to complete additional forms or paperwork to satisfy the requirements of the other program.

5. Appointment Scheduling

Booking: Appointments are scheduled on a first-come, first-served basis. Availability may vary depending on demand and staffing resources.

Confirmation: You will receive a confirmation email or message once your appointment is successfully scheduled.

Rescheduling or Cancellations: if you are unable to attend a scheduled meeting, then before your appointment, you may cancel or reschedule the appointment through the scheduling app or through the link in the appointment confirmation email.

6. Text Messaging and Communication

By providing your contact information, you agree that we may send text messages (SMS) related to your appointment(s). These messages may include:

·      Appointment Reminders: Notifications regarding upcoming scheduled appointments.

·      Follow-up Surveys: Requests for feedback on the appointment or satisfaction surveys.

Standard messaging rates from your mobile carrier may apply. If you prefer not to receive text messages, you can opt out by notifying us at the time of scheduling or by replying "STOP" to any text message.

7. Client Responsibilities

You agree to:

Provide accurate and complete information when scheduling your appointment and during the consultation.

Complete a brief survey about support you received from Service Providers.

Use this service only for its intended purpose of obtaining guidance on City resources and other business resources for your business.

Arrive on time for your scheduled appointment and notify us promptly if you cannot attend.

You understand that:

Service providers may have staff shadowing the appointments for training purposes.

To maintain an environment that promotes the orderly business operations of the Portland Office of Small Business, there are rules of conduct. No person may engage in any activity that violates federal, state, or local laws or regulations, and no person may disrupt or interfere with the normal operation of the program or its use by other clients. You understand that Clients must obey any reasonable direction from the Service Provider in order to preserve the peace and prevent the disruption.

8. Service Termination; Rescheduling

Service Providers reserve the right to terminate an appointment at any time and for any reason including misuse of the Platform or technical difficulties. If a meeting is canceled due to technical difficulties, Service Providers will make a reasonable attempt to reschedule with the Client.

We may also cancel a scheduled meeting at any time for any reason including illness, altered availability, or Client misuse of the platform. In the case of illness or altered availability, we will make a reasonable effort to reschedule the appointment with the client. 

9. Limitation of Liability

We strive to provide accurate and helpful information; however, we do not guarantee the outcome or success of the advice given. You waive any claims against the Portland Office of Small Business for any direct, indirect, incidental, or consequential damages resulting from the use of this service or the information provided during the appointment. 

10. Privacy and Confidentiality

The information you provide through secure Portland Office of Small Business forms are available to Prosper Portland and Service Providers. We collect personal and business-related information to better assist you. Public reporting by Prosper Portland will occur only in a way that does not disclose individual Client data. Prosper Portland and Service Provider staff will not disclose Client information unless the Client consents or unless public records or other laws require disclosure. Prosper Portland may share data with City of Portland bureaus for purposes of public benefit such as emergency communications.   

11. Changes to Service

We reserve the right to modify or discontinue this appointment scheduling service at any time without notice. These terms and conditions may also be updated periodically.  If materials changes are made to the terms and conditions, we will post a notice on the Office of Small Business home page that the terms and conditions have been modified with a link to the new terms and conditions. Continued use of the service after any changes indicates acceptance of the revised terms.

12. Governing Law

These terms and conditions and the provision of the Services are governed by and construed in accordance with the laws of the State of Oregon. Any disputes related to these terms will be subject to the exclusive jurisdiction of the courts located in Multnomah County, Oregon.
